5.1 Scope of Engagement: This Purchase Order authorizes the procurement of a qualified School Counselor to be physically present at the Al Noor International Academy campus in United Arab Emirates Abu Dhabi for a minimum of forty (40) hours per week during the academic term. The School Counselor shall report directly to the Vice Principal of Student Affairs and shall operate under the institutional policies and the regulatory oversight of the Abu Dhabi Department of Education and Culture.
5.2 Commencement and Duration: Services shall commence on 1 September 2025 and shall continue through 28 June 2026, subject to the standard UAE academic calendar. Any extension beyond this period shall require a formal amendment to this Purchase Order executed by both parties.
5.3 Payment Terms: Payment shall be made in monthly installments of AED 21,831.25 (inclusive of VAT) via bank transfer to the supplier's designated account in the United Arab Emirates Abu Dhabi. Invoices are due within thirty (30) calendar days from the date of receipt. Late payments shall accrue interest at the rate of 2% per month in accordance with UAE commercial law.
5.4 Compliance and Legal Obligations: The School Counselor engaged under this Purchase Order must comply with all applicable federal and emirate-level laws of the United Arab Emirates Abu Dhabi, including but not limited to the UAE Labour Law (Federal Decree-Law No. 33 of 2021), the Personal Data Protection Law, and all ADEK directives governing student welfare and counseling services. The supplier warrants that the School Counselor shall hold a valid UAE residence visa and work permit prior to the commencement date.
5.5 Confidentiality: All student records, session notes, and personal data handled by the School Counselor shall be treated as strictly confidential. Disclosure is permitted only in cases mandated by UAE law or with the written consent of the student's legal guardian. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal proceedings under UAE jurisdiction.
5.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of gross misconduct, failure to meet ADEK compliance standards, or material breach of contract, the buyer reserves the right to terminate immediately without notice. Upon termination, the supplier shall ensure a structured handover of all School Counselor case files and student records to the institution.
5.7 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates Abu Dhabi. Any disputes arising hereunder shall be resolved through the Abu Dhabi Courts, and the parties agree to attempt mediation through the Abu Dhabi Commercial Conciliation and Arbitration Center (ADCCAC) before initiating litigation.
5.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated school closures in United Arab Emirates Abu Dhabi, natural disasters, or public health emergencies declared by UAE authorities.
