2. SCOPE OF SERVICES – SCHOOL COUNSELOR ENGAGEMENT

This Purchase Order authorizes the procurement of professional School Counselor services for the 2025/2026 academic year at Tashkent State Pedagogical Academy of Education, located in Uzbekistan Tashkent. The School Counselor shall provide comprehensive psychological, academic, and career guidance services to the student body of approximately 2,400 enrolled students. All services shall be delivered in accordance with the regulations of the Ministry of Education of the Republic of Uzbekistan and the local municipal education authority of Tashkent City.

4. TERMS AND CONDITIONS
  1. Commencement and Duration: The School Counselor engagement shall commence on 1 September 2025 and conclude on 31 May 2026, aligning with the standard academic calendar in Uzbekistan Tashkent. This Purchase Order may be renewed for subsequent academic years subject to mutual written agreement and satisfactory performance evaluation.
  2. Payment Schedule: Payment shall be made in four equal quarterly installments of 33,684,000 UZS each, due within 15 business days following the end of each quarter (Q1: 30 Sep 2025; Q2: 31 Dec 2025; Q3: 31 Mar 2026; Q4: 30 May 2026). Payments shall be processed via bank transfer to the account designated by the School Counselor in accordance with Uzbekistan's Payment System regulations.
  3. Compliance and Licensing: The School Counselor must maintain a valid professional license issued by the Ministry of Health of the Republic of Uzbekistan and comply with all data protection and student confidentiality laws applicable in Uzbekistan Tashkent, including the Law of the Republic of Uzbekistan on Personal Data Protection (2019).
  4. Working Hours and Location: Services shall be rendered on-site at the Academy's main campus in Tashkent, Monday through Friday, 08:00–17:00, with additional on-call availability as specified in Line Item 6. The School Counselor is expected to be present at the Tashkent facility for a minimum of 40 hours per week.
  5. Confidentiality: All student records, session notes, and assessment data handled by the School Counselor shall be treated as strictly confidential. No information shall be disclosed to third parties without written parental or guardian consent, except where mandated by Uzbekistan law for the protection of a minor.
  6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for cause (e.g., professional misconduct, failure to meet service standards), the terminating party shall provide a detailed written explanation. Upon termination, the School Counselor shall return all Academy property, student records, and materials within 5 business days.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to the Tashkent City Arbitration Court in accordance with the Civil Procedure Code of the Republic of Uzbekistan.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in Tashkent, or public health emergencies as declared by the Cabinet of Ministers of Uzbekistan.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. All references to Uzbekistan Tashkent denote the jurisdiction and physical location of performance.
5. AUTHORIZATION AND ACCEPTANCE

By signing below, the authorized representatives confirm that this Purchase Order for School Counselor services has been reviewed, approved, and is binding upon both parties. The engagement is specifically for the Tashkent State Pedagogical Academy of Education campus in Uzbekistan Tashkent and shall not be transferred or subcontracted without prior written consent.
