1. Payment for this Purchase Order shall be processed in quarterly installments via bank transfer to the School Counselor's designated account at a licensed commercial bank operating in Vietnam Ho Chi Minh City. The payment schedule is as follows:
- First installment (25%): Due within 15 business days of the Effective Date (01 September 2025), totaling 174,900,000 VND.
- Second installment (25%): Due by 30 November 2025, totaling 174,900,000 VND.
- Third installment (25%): Due by 31 January 2026, totaling 174,900,000 VND.
- Fourth installment (25%): Due by 30 April 2026, totaling 174,900,000 VND.
The School Counselor engaged under this Purchase Order must hold a minimum of a Master's degree in Counseling Psychology or a related field, possess a valid professional license issued by the relevant authority in Vietnam Ho Chi Minh City, and demonstrate a minimum of five (5) years of experience in educational counseling. The School Counselor shall maintain confidentiality in accordance with Vietnamese data protection regulations and the academy's internal student privacy policy. All counseling records shall be stored securely on the academy's premises in Vietnam Ho Chi Minh City and shall not be transferred outside the institution without written authorization.
6. Termination and CancellationEither party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of early termination, the School Counselor shall be compensated for all services rendered up to the termination date. The academy reserves the right to cancel this Purchase Order without penalty if the School Counselor fails to meet the performance standards outlined in the service agreement or violates any applicable law in Vietnam Ho Chi Minh City.
7. Governing Law and Dispute ResolutionThis Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from the engagement of the School Counselor under this document shall be resolved through mediation at the Vietnam Ho Chi Minh City Arbitration Centre before proceeding to litigation in the competent People's Court of District 7, Vietnam Ho Chi Minh City.
