4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both parties. All services described herein shall be rendered in full compliance with the Social Work Law of the People's Republic of China and the local regulations governing social work practice in China Shanghai.

4.2 The Social Worker assigned under this Purchase Order must hold a valid Level 2 National Social Worker Professional Qualification Certificate issued by the Ministry of Civil Affairs of China and must be registered with the China Shanghai Social Workers Association.

4.3 The Supplier shall ensure that the Social Worker maintains professional confidentiality in accordance with the ethical code of practice for social workers in China Shanghai. All client records shall be stored in compliance with the Personal Information Protection Law of the People's Republic of China.

4.4 The service period under this Purchase Order shall commence on 1 August 2025 and conclude on 31 July 2026, unless terminated earlier by mutual written agreement or in accordance with the termination clauses herein.

4.5 Payment shall be made in quarterly installments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Payment shall be processed via bank transfer to the account specified in Section 1 of this Purchase Order.

4.6 The Buyer reserves the right to request a replacement Social Worker if the assigned professional fails to meet the performance standards outlined in the attached Service Level Agreement, or if the Social Worker is unable to continue service due to health, relocation, or other legitimate reasons.

4.7 Any disputes arising from this Purchase Order shall be resolved through negotiation. If negotiation fails, the matter shall be submitted to the Shanghai International Arbitration Center in China Shanghai for binding arbitration under its rules of procedure.

4.8 This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Republic of China, with specific reference to the municipal regulations of China Shanghai applicable to social services procurement.

The Social Worker shall report for duty at the Pudong New Area Community Welfare Center, located at 567 Century Avenue, Pudong New Area, China Shanghai, no later than 09:00 AM on 1 August 2025. The Social Worker shall operate on a standard five-day work week (Monday through Friday, 09:00–17:30) with additional on-call availability as specified in Line Item 05 of this Purchase Order.
