4.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Social Worker for the provision of professional social work services in Colombia Bogotá. Both parties acknowledge that this engagement is governed by the Colombian Commercial Code (Código de Comercio) and applicable labor legislation.

4.2 The Social Worker shall maintain all required professional licenses, registrations, and insurance coverage throughout the duration of this Purchase Order. Any lapse in professional standing shall constitute grounds for immediate termination.

4.3 The Social Worker is expected to work a standard schedule of 40 hours per week, Monday through Friday, with availability for on-call emergency response as outlined in Line Item 05. Overtime shall be compensated in accordance with Colombian labor law (Ley 50 de 1990).

4.4 All services rendered under this Purchase Order shall be performed with the highest degree of professional ethics, cultural sensitivity, and respect for the human rights of all beneficiaries within the Colombia Bogotá metropolitan area.

4.5 The Purchasing Entity reserves the right to audit the Social Worker's case files, reports, and service delivery records at any reasonable time upon 48 hours' written notice.

4.6 Confidentiality: The Social Worker shall maintain strict confidentiality regarding all beneficiary information in accordance with Colombian data protection law (Ley 1581 de 2012) and the General Data Protection Regulation applicable in Colombia.

Payment shall be made monthly in Colombian Pesos (COP) via bank transfer to the account designated by the Social Worker. Invoices must be submitted by the 5th business day of each month for the preceding month's services. Payment shall be processed within 15 business days of invoice receipt. Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia.

Note: All financial transactions under this Purchase Order are subject to the withholding tax (retención en la fuente) regulations of the Colombian National Tax Authority (DIAN). The Purchasing Entity shall apply the applicable withholding rate of 3.5% on professional service payments as mandated by Colombian tax law.

Services shall commence on July 1, 2025, and continue through June 30, 2026, unless terminated earlier. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for cause, the Purchasing Entity may issue immediate notice. Upon termination, the Social Worker shall deliver all case files, reports, and organizational property within 10 business days.

This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved in the competent labor and civil courts of Bogotá D.C., Colombia. Both parties agree to attempt mediation through the Centro de Conciliación de la Cámara de Comercio de Bogotá before initiating any judicial proceedings.
