1. This Purchase Order is governed by the laws of the Arab Republic of Egypt and the Egyptian Civil Code. All disputes arising from this Purchase Order shall be resolved through the competent courts in Egypt Cairo.
2. The Social Worker personnel engaged under this Purchase Order must comply with the Egyptian Labor Law (Law No. 12 of 2003) and all regulations issued by the Ministry of Social Solidarity regarding the practice of social work in Egypt Cairo.
3. Payment shall be made in monthly installments via bank transfer to the vendor's designated account within fifteen (15) business days of receipt of an approved invoice and a monthly progress report signed by the supervising Social Worker.
4. The vendor shall provide a replacement Social Worker within seven (7) calendar days in the event of resignation, medical leave exceeding thirty (30) days, or termination for cause. The replacement must meet or exceed the qualifications specified in this Purchase Order.
5. All Social Worker staff must undergo a background check through the Egyptian National Police and the Ministry of Social Solidarity prior to commencing duties. Failure to provide a clear background report shall result in immediate removal from the project at no additional cost to the Authority.
6. The vendor is responsible for obtaining and maintaining all necessary professional liability insurance for the Social Worker team, with a minimum coverage of EGP 5,000,000 per incident, valid throughout the duration of this Purchase Order.
7. Confidentiality: All Social Worker personnel shall adhere to the Egyptian Data Protection Law (Law No. 151 of 2020) and maintain strict confidentiality regarding client information. Any breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order.
8. The Authority reserves the right to audit the vendor's records, Social Worker performance logs, and case files at any reasonable time with forty-eight (48) hours' written notice.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Egypt Cairo.
10. This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications shall be binding.

All Social Worker positions referenced in this Purchase Order shall commence no later than 1 August 2025. The vendor shall submit a detailed onboarding schedule, including orientation plans specific to the Egypt Cairo service areas, no later than 25 July 2025. The first monthly invoice shall be due on 1 September 2025 for services rendered in August 2025.
