This Purchase Order is issued by the Conseil Départemental du Rhône to formally request and authorize the procurement of qualified Social Worker professional services to be delivered within the metropolitan area of France Lyon and its surrounding communes. The engagement of a certified Social Worker under this Purchase Order is intended to support vulnerable populations, including families in economic distress, elderly residents requiring home-based assistance, and youth at risk of social exclusion, in accordance with the social welfare mandates established by the French State and the Département du Rhône.
The Social Worker engaged pursuant to this Purchase Order shall operate in full compliance with the French Code de l'Action Sociale et des Familles (CASF), the professional ethical code of the Conseil National de l'Ordre des Assistanats Sociaux, and all applicable regulations governing social intervention services in the France Lyon jurisdiction.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Service Provider within ten (10) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Qualification Requirements: All Social Workers assigned under this Purchase Order must hold a valid Diplômé d'Etat d'Assistante Sociale (DEAS) or equivalent qualification recognized by the French Ministry of Solidarity and Health. Proof of professional liability insurance (assurance réponse civile professionnelle) covering the France Lyon operational area must be provided prior to commencement of services.
- Place of Performance: All services shall be rendered within the administrative boundaries of the France Lyon metropolitan area, including the city of Lyon, Villeurbanne, and the communes of the Métropole de Lyon, unless otherwise specified in a written amendment to this Purchase Order.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice by the Conseil Départemental du Rhône via bank transfer to the account designated by the Service Provider. Late payments shall accrue interest at the statutory rate defined under French public procurement law (Code de la Commande Publique).
- Confidentiality & Data Protection: The Social Worker and the Service Provider shall comply strictly with the French Data Protection Act (Loi Informatique et Libertés) and the General Data Protection Regulation (GDPR) in handling all personal data of beneficiaries. Confidentiality obligations survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. The Purchasing Entity may terminate immediately for material breach, including but not limited to the Social Worker's failure to maintain required professional credentials or a violation of ethical standards governing social work practice in France.
- Governing Law & Jurisdiction: This Purchase Order is governed by the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal Administratif de Lyon, France.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the France Lyon region.
- Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
The Social Worker services described in this Purchase Order shall commence on 1 September 2025 at the designated service locations within France Lyon. The Service Provider shall ensure that all assigned Social Workers complete mandatory onboarding, including a site-specific orientation to the France Lyon social services infrastructure, an introduction to the Conseil Départemental's internal reporting systems, and a review of the local referral pathways with the Centre d'Information sur les Droits des Femmes et de la Famille (CIDFF) Lyon and the local Maison de la Justice et du Droit.
