Scope of ProcurementThis Purchase Order is issued by the Frankfurt Social Services Authority to formally procure the professional services of a qualified Social Worker to be deployed within the administrative boundaries of Germany Frankfurt. 1. Acceptance and Binding Effect: This Purchase Order becomes a binding contractual agreement upon written acceptance by the Service Provider. The Social Worker named in the attached personnel schedule shall be the sole individual assigned to fulfil the obligations outlined herein for the duration of the contract within Germany Frankfurt.
2. Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via SEPA bank transfer to the account designated by Rhein-Main Social Work Consultancy GmbH. Late payments shall incur interest at the statutory rate under German commercial law (BGB §288).
3. Performance Standards: The Social Worker shall adhere to the professional standards set forth by the German Association of Social Work (Deutscher Verein für öffentliche und private Sozialwirtschaft) and shall maintain all required certifications and registrations with the competent authorities in the State of Hesse. Quarterly performance reviews shall be conducted jointly by both parties.
4. Data Protection and Confidentiality: All client data processed by the Social Worker in Germany Frankfurt shall be handled in strict compliance with the European General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). A separate Data Processing Agreement (DPA) is attached as Annex B to this Purchase Order.
5. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, termination may be effected with immediate effect. Upon termination, the Social Worker shall complete all open case files and transfer records to the Frankfurt Social Services Authority within fourteen (14) days.
6. Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
7. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting social service delivery in Germany Frankfurt.
