4.1 Commencement and Duration: The Social Worker services procured under this Purchase Order shall commence on 1 September 2025 and shall continue for a period of twelve (12) months, concluding on 31 August 2026, unless renewed by mutual written agreement between the Buyer and the Supplier.

4.2 Place of Service: All services rendered by the Social Worker shall be performed within the administrative boundaries of Japan Tokyo, including but not limited to the 23 special wards, the western Tokyo suburbs, and any satellite community centers designated by the Buyer in writing.

4.3 Payment Terms: Payment for the Social Worker services shall be made on a monthly basis, within thirty (30) days of receipt of a valid invoice from the Supplier. All payments shall be processed in Japanese Yen (JPY) via bank transfer to the account designated by the Supplier. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Japanese commercial law.

4.4 Compliance and Licensing: The Supplier warrants that the Social Worker assigned under this Purchase Order maintains all necessary licenses, registrations, and professional certifications required to practice social work in Japan Tokyo. The Supplier shall provide proof of licensure, professional liability insurance (minimum coverage of JPY 50,000,000), and a clean criminal background check prior to the commencement of services.

4.5 Confidentiality: The Social Worker shall handle all client information in strict accordance with the Act on the Protection of Personal Information (APPI) of Japan and the Japan Tokyo Municipal Data Protection Regulations. No client records, case files, or personal identifiers shall be disclosed to any third party without explicit written consent, except where mandated by Japanese law.

4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. 4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with exclusive jurisdiction vested in the Tokyo District Court, Japan Tokyo.
