  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Social Worker within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
  2. Commencement: Services shall commence on 1 July 2025 and continue through 30 June 2026, unless terminated earlier in accordance with Clause 7.
  3. Payment Schedule: Payment shall be made in quarterly installments of NPR 397,477.50 each, due within thirty (30) days of receipt of the corresponding quarterly progress report and invoice. All payments shall be made via bank transfer to the account specified in Section 1.
  4. Compliance: The Social Worker shall comply with all applicable laws of Nepal, including the Child Act 2002, the Mental Health Act 2018, the Social Security Act 2018, and the regulations of the Nepal Social Work Council. All client data shall be handled in strict accordance with Nepal's data protection guidelines.
  5. Confidentiality: The Social Worker shall maintain absolute confidentiality of all client information. No personal data of beneficiaries in Nepal Kathmandu shall be disclosed to any third party without written consent, except where mandated by law.
  6. Insurance and Liability: The Social Worker shall maintain professional liability insurance with a minimum coverage of NPR 5,000,000 throughout the contract period. The Foundation shall not be liable for any personal injury or property damage arising from the Social Worker's independent professional judgment.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the Social Worker shall submit a final report and all case files within fourteen (14) days.
  8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through mediation. If unresolved within thirty (30) days, the matter shall be referred to the competent court of law in Kathmandu, Nepal, and governed by the laws of Nepal.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations due to natural disasters (including earthquakes common to the Nepal Kathmandu region), government-imposed restrictions, pandemics, or other events beyond reasonable control.
  10. Intellectual Property: All reports, assessments, and program documentation produced under this Purchase Order shall be the property of the Kathmandu Community Development Foundation. The Social Worker retains the right to reference the engagement in professional portfolios with client identities redacted.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes the full and final agreement between the parties regarding the procurement of Social Worker services for the Safe Kathmandu Youth Initiative.
