1. This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation and applicable municipal regulations of Russia Saint Petersburg.
2. The Social Worker engaged under this Purchase Order shall comply with all professional ethical standards established by the Russian Association of Social Workers and the Code of Professional Ethics for Social Workers of the Russian Federation.
3. Confidentiality obligations under this Purchase Order shall survive termination for a period of five (5) years. All client records and case files remain the property of the Purchasing Entity and must be stored at the designated facility in Saint Petersburg.
4. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Service Provider shall ensure a minimum of sixty (60) days transition period for the Social Worker's caseload to be reassigned to another qualified professional within Russia Saint Petersburg.
5. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Saint Petersburg in accordance with the Arbitration Procedure Code of the Russian Federation.
6. The Service Provider warrants that the Social Worker shall not be engaged in any concurrent employment or consulting arrangement that creates a conflict of interest with the duties outlined in this Purchase Order.

This Purchase Order is executed in two (2) original copies, one for each party, both having equal legal force. The document becomes effective upon signature by both authorized representatives and stamping with the official corporate seal.
