- Scope of Services: The Service Provider shall supply qualified, registered Social Workers who hold a valid degree in Social Work (Grado en Trabajo Social) recognized by the Spanish Ministry of Education and are registered with the relevant professional college in the Community of Madrid. All Social Workers assigned under this Purchase Order must possess a minimum of three (3) years of professional experience in social services delivery within Spain.
- Service Location: All Social Worker services shall be rendered within the municipal territory of Madrid, Spain. The Service Provider is responsible for ensuring that all field Social Workers have adequate transportation and access to all 21 districts of the city, including but not limited to Centro, Salamanca, Tetuán, Chamberí, Retiro, Arganzuela, Carabanchel, Usera, Latina, Moncloa-Aravaca, Barajas, Ciudad Lineal, Hortaleza, Fuencarral-El Pardo, Chamartín, Moratalaz, San Blas-Canillejas, Villaverde, Puente de Vallecas, and Villa de Vallecas.
- Compliance with Spanish Law: The execution of this Purchase Order shall be governed by the Spanish Public Contracts Law (Ley 9/2017, de 8 de noviembre, de Contratos del Sector Público), the General Social Services Law (Ley 26/2006, de 17 de julio, de Promoción de la Autonomía Personal y Atención a las Personas en Situación de Dependencia), and all applicable regulations of the Comunidad de Madrid. The Social Workers shall adhere to the professional code of ethics established by the Consejo General del Trabajo Social de España.
- Confidentiality and Data Protection: All Social Workers engaged under this Purchase Order shall comply strictly with the Spanish Organic Law on Data Protection (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR). Client records, case files, and personal information handled by the Social Workers in Madrid shall be stored in secure, encrypted systems and shall not be disclosed to any third party without explicit written authorization.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice by the Ayuntamiento de Madrid. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Public Contracts (Ley 3/2004).
- Performance and Reporting: The Supervising Social Worker shall submit a comprehensive monthly report to the Concejalía de Servicios Sociales detailing caseloads, interventions performed, outcomes achieved, and any incidents requiring escalation. Quarterly performance reviews shall be conducted jointly by both parties in Madrid, Spain.
- Substitution of Personnel: The Service Provider may substitute individual Social Workers with notice of no fewer than fifteen (15) business days, provided the replacement Social Worker meets or exceeds the qualifications specified in this Purchase Order. The Ayuntamiento de Madrid reserves the right to request the removal of any Social Worker who fails to meet professional standards or who is found in breach of the terms herein.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fifteen (15) days notice. Upon termination, the Service Provider shall ensure an orderly transition of all Social Worker caseloads to the Ayuntamiento de Madrid or its designated successor provider within Madrid, Spain.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Madrid, Spain, in accordance with Spanish civil and administrative procedure. The parties agree to attempt mediation before initiating formal litigation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting social services in Madrid, Spain.
