3.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Social Worker services within the Thailand Bangkok metropolitan area. All terms herein shall be governed by the laws of the Kingdom of Thailand, including the Thai Civil and Commercial Code and the Social Work Act B.E. 2546 (2003).
3.2 The Supplier shall ensure that every Social Worker assigned under this Purchase Order maintains a current professional licence, valid health clearance, and a clean criminal background check as required by Thai regulatory authorities operating in Thailand Bangkok. Any lapse in licensure shall result in immediate reassignment at the Supplier's expense.
3.3 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the Supplier's designated account. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Thai commercial law.
3.4 The Social Worker personnel shall adhere to the code of ethics established by the Thai Social Work Association and shall maintain strict confidentiality regarding all client information in accordance with the Personal Data Protection Act B.E. 2562 (2019) of Thailand.
3.5 The Purchasing Party reserves the right to request the replacement of any Social Worker who fails to meet performance standards, as defined in the attached Service Level Agreement (SLA). The Supplier shall provide a qualified replacement Social Worker within five (5) business days of a written request.
3.6 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all Social Worker services rendered up to the effective date of termination.
3.7 All work performed under this Purchase Order shall take place within the administrative boundaries of Thailand Bangkok, including the 50 districts of the Bangkok Metropolitan Region. Travel to satellite community sites within Thailand Bangkok shall be included in the stated rates.
3.8 The Supplier shall submit a comprehensive monthly report detailing the activities, caseloads, and outcomes of all Social Worker personnel to the Purchasing Party by the 10th of each month. Annual performance reviews shall be conducted in January of each calendar year.
3.9 Any disputes arising from this Purchase Order shall first be subject to mediation in Thailand Bangkok. If mediation fails, disputes shall be resolved by the competent courts of Thailand Bangkok.
4. DELIVERY AND COMMENCEMENTAll Social Worker personnel shall commence their duties no later than 1 August 2025 at the respective Thailand Bangkok community centres and welfare offices as specified in Section 2. The Supplier shall provide a detailed deployment schedule, including names, qualifications, and assigned locations of each Social Worker, no fewer than fourteen (14) days prior to the commencement date. The Purchasing Party shall provide all necessary office space, equipment, and administrative support at the Thailand Bangkok service locations.
