- This Purchase Order constitutes a binding agreement between Al Noor Community Development Foundation (hereinafter "the Buyer") and Compass Human Resources FZE (hereinafter "the Vendor") for the procurement of Social Worker services in United Arab Emirates Dubai. Both parties acknowledge that this Purchase Order is governed by the laws of the United Arab Emirates, specifically the UAE Civil Code (Federal Law No. 5 of 1985) and the UAE Commercial Transactions Law.
- The Social Worker engaged under this Purchase Order must hold a valid professional license issued by the UAE Ministry of Community Development and must possess a minimum of five (5) years of documented experience in social work practice within the United Arab Emirates. The Vendor shall provide copies of all relevant certifications, academic transcripts, and professional references prior to commencement of services.
- All services rendered by the Social Worker shall be performed at the designated location in United Arab Emirates Dubai, specifically at the Al Noor Community Centre, Business Bay. Any off-site visits to other emirates or locations within Dubai shall require prior written approval from the Buyer's Project Director.
- Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract a penalty of 1.5% per month as stipulated under UAE commercial law. The total value of this Purchase Order is AED 317,000.00 (Three Hundred Seventeen Thousand Dirhams only).
- The Vendor shall ensure full compliance with all UAE labour regulations, including but not limited to the UAE Labour Law (Federal Decree-Law No. 33 of 2021), the Social Insurance Law, and all Dubai Municipality requirements for social service providers operating in United Arab Emirates Dubai. The Social Worker shall be subject to a mandatory background check through the UAE Federal Authority for Identity, Citizenship, Customs and Port Security.
- Confidentiality: The Social Worker shall maintain strict confidentiality of all client information in accordance with the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021). All records shall be stored on servers physically located within the United Arab Emirates. Breach of confidentiality shall result in immediate termination of this Purchase Order and potential legal action.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall ensure a smooth transition of all active Social Worker caseloads to a replacement professional approved by the Buyer within fourteen (14) days. All end-of-service benefits for the Social Worker shall be settled in accordance with UAE labour law.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the Dubai Courts or, at the Buyer's discretion, to the Dubai International Financial Centre (DIFC) Courts for arbitration in accordance with the DIFC Arbitration Rules.
- This Purchase Order is valid for acceptance until 15 July 2025. The Vendor's acceptance shall be confirmed by countersigning this document and returning a scanned copy to the Buyer's procurement department within five (5) business days of receipt.
