This Purchase Order authorizes the procurement of professional Social Worker services to be rendered by qualified, licensed Social Worker personnel on behalf of the Houston Community Health & Social Services Agency, Inc. The Social Worker services described herein are intended to support community-based mental health outreach, family intervention programs, and case management initiatives serving vulnerable populations within the United States Houston metropolitan area, including Harris, Fort Bend, and Montgomery Counties.

Note: All Social Worker personnel engaged under this Purchase Order must hold a current, active license issued by the Texas State Board of Social Work Examiners and must maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence. The Social Worker must comply with all applicable federal, state, and local regulations governing social work practice in the United States Houston jurisdiction.

This Purchase Order constitutes a binding agreement between the Buyer and the Vendor for the provision of Social Worker professional services as described in the line items above. All services shall be performed within the geographic boundaries of the United States Houston metropolitan area unless otherwise authorized in writing by the Buyer.
The Vendor shall ensure that every Social Worker assigned to this contract holds a valid, unexpired license from the Texas State Board of Social Work Examiners and shall provide proof of licensure and professional liability insurance prior to the commencement of services on or before July 1, 2025.
Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-HST-0487) and include a detailed breakdown of Social Worker hours, services rendered, and client contact summaries (with all personally identifiable information redacted in accordance with HIPAA and Texas Health & Safety Code provisions).
The Vendor shall comply with all applicable federal laws, including the Americans with Disabilities Act (ADA), the Family Educational Rights and Privacy Act (FERPA), and the Health Insurance Portability and Accountability Act (HIPAA), as well as all state and municipal regulations governing Social Worker practice in the United States Houston jurisdiction.
The Buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Social Worker services fail to meet the performance standards outlined in the attached Service Level Agreement (SLA), or if the Vendor is found in material breach of any term herein.
All Social Worker personnel shall be subject to a background check through the Texas Department of Public Safety and the United States Department of Justice, as required for working with vulnerable populations in the United States Houston community.
Any modifications, amendments, or change orders to this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Social Worker services shall not be binding.
Disputes arising under this Purchase Order shall be resolved through mediation in Harris County, United States Houston, Texas, in accordance with the Texas Uniform Mediation Act. If mediation is unsuccessful, disputes shall be subject to binding arbitration in the United States Houston area.
The Vendor shall maintain all client records and Social Worker documentation for a minimum of seven (7) years in compliance with Texas social work practice standards and shall make such records available for audit by the Buyer upon reasonable notice.
This Purchase Order is governed by the laws of the State of Texas and the federal laws of the United States of America. The venue for any legal proceedings shall be the courts of Harris County, United States Houston, Texas.
