- Scope of Work: The Supplier shall provide qualified, licensed Social Worker professionals to deliver community-based social services within the administrative boundaries of Vietnam Ho Chi Minh City. All Social Worker personnel must hold a valid degree in Social Work from an accredited Vietnamese university and possess a current professional license issued by the Ho Chi Minh City Department of Labor, Invalids and Social Affairs.
- Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of an approved invoice. The first payment shall be due upon successful onboarding and deployment of all Social Worker staff. Invoices must be submitted in Vietnamese Dong (VND) and include the Supplier's tax code and a detailed breakdown of services rendered under this Purchase Order.
- Performance Standards: Each Social Worker assigned under this Purchase Order must complete a minimum of 20 client contact hours per week. Monthly performance reports must be submitted to the Issuing Organization by the 5th business day of the following month. Failure to meet performance benchmarks for two consecutive months may result in partial termination of the relevant line item.
- Compliance and Legal Obligations: The Supplier and all Social Worker personnel shall comply with all applicable laws and regulations of the Socialist Republic of Vietnam, including the Law on Social Work (Law No. 72/2006/QH11), the Law on Protection of Children, and all municipal decrees issued by the Ho Chi Minh City People's Committee. All client data must be handled in accordance with Vietnam's Personal Data Protection Decree 13/2023/NĐ-CP.
- Confidentiality: All Social Worker staff shall maintain strict confidentiality regarding client information. Any breach of confidentiality within the Vietnam Ho Chi Minh City service area shall constitute grounds for immediate termination of the affected individual's engagement and may result in legal action.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In cases of material breach, termination may be effected with 14 days' notice. Upon termination, the Supplier shall ensure a smooth transition of all active Social Worker caseloads to a successor provider approved by the Issuing Organization.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the People's Court of District 1, Ho Chi Minh City, Vietnam, for adjudication under Vietnamese law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Vietnam Ho Chi Minh City, or epidemics declared by the Ministry of Health of Vietnam.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for the provision of Social Worker services in Vietnam Ho Chi Minh City. This document constitutes a binding agreement effective from the date of the last signature.
