This Purchase Order authorises the procurement of professional services for the engagement of a qualified Software Engineer to be physically based in Australia Brisbane. The Software Engineer shall perform duties including but not limited to: designing, developing, testing, and deploying scalable software solutions; participating in agile sprint cycles; conducting peer code reviews; contributing to technical documentation; and ensuring adherence to the company's software engineering standards and security protocols. The Software Engineer is expected to report to the Engineering Director at the Australia Brisbane headquarters located at 123 Creek Street, Brisbane, Queensland.

1. This Purchase Order is governed by the laws of the State of Queensland, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Australia Brisbane.
2. The Software Engineer engagement is for a fixed term of twelve (12) months commencing on 1 July 2025, with an option for renewal subject to mutual written agreement and a new Purchase Order.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier, in accordance with Australian GST legislation administered by the Australian Taxation Office.
4. The Supplier warrants that the Software Engineer shall meet all minimum qualification requirements, including a relevant tertiary degree in Computer Science, Software Engineering, or a closely related discipline, and a minimum of five (5) years of professional software development experience.
5. All work performed by the Software Engineer shall be conducted in compliance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and any applicable data protection obligations relevant to operations in Australia Brisbane.
6. The Supplier shall maintain all necessary professional indemnity and public liability insurance for the duration of the Software Engineer engagement, with minimum coverage of AUD $10,000,000.
7. Early termination of this Purchase Order may be effected by either party providing thirty (30) days written notice. In the event of early termination, the Buyer shall be liable for all costs incurred up to the date of termination, including a pro-rata portion of the Software Engineer's contracted remuneration.
8. The Software Engineer shall be subject to the Buyer's workplace health and safety policies as applicable to the Australia Brisbane office, in compliance with the Work Health and Safety Act 2011 (Qld).
9. All intellectual property created by the Software Engineer during the course of this engagement shall vest in the Buyer upon creation, in accordance with the terms of the individual employment or contract agreement.
10. This Purchase Order does not constitute a guarantee of placement. In the event the Supplier is unable to source a suitable Software Engineer within sixty (60) days of the issue date, this Purchase Order shall be automatically void and no payment obligation shall arise.
