This Purchase Order is issued by Meridian Digital Solutions Pty Ltd (hereinafter referred to as the "Buyer") to Apex Talent Partners Australia (hereinafter referred to as the "Supplier") for the procurement of a Software Engineer professional services engagement. The Software Engineer shall be engaged on a full-time, fixed-term basis to perform software development, system architecture design, code review, and technical consultancy duties for the Buyer's enterprise application portfolio. The role is to be performed physically and remotely from the Buyer's principal place of business located in Australia Melbourne, specifically at the Level 12 office on Collins Street, Melbourne VIC 3000, with the option of hybrid remote work not exceeding two (2) days per week.

The Software Engineer engaged under this Purchase Order shall be responsible for the following duties and deliverables:

• Design, develop, test, and deploy scalable software solutions using modern programming languages including but not limited to Python, Java, and TypeScript.
• Architect and maintain microservices infrastructure supporting the Buyer's customer-facing platforms hosted within the Australia Melbourne data centre region.
• Conduct peer code reviews, write comprehensive technical documentation, and ensure adherence to the Buyer's engineering standards and coding conventions.
• Collaborate with cross-functional teams based in Australia Melbourne to define sprint objectives, estimate workloads, and deliver incremental software releases on a bi-weekly cadence.
• Perform root-cause analysis on production incidents and implement corrective measures to ensure system uptime exceeding 99.9%.
• Mentor junior developers and contribute to the Buyer's internal knowledge-sharing programme conducted at the Melbourne office.

All payments under this Purchase Order shall be made in Australian Dollars (AUD) via direct bank transfer to the Supplier's nominated account. Invoices shall be submitted monthly in arrears, due within thirty (30) calendar days of the invoice date. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law and the Competition and Consumer Act 2010 (Cth), as applicable to transactions conducted in Australia Melbourne. The Buyer reserves the right to withhold payment for any deliverables that do not meet the acceptance criteria outlined in the Statement of Work attached as Schedule A to this Purchase Order.

The Software Engineer engagement shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement. • This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia.
• The Supplier shall ensure that the Software Engineer holds all necessary professional qualifications, certifications, and working rights to perform services in Australia Melbourne.
• All intellectual property created by the Software Engineer in the course of performing duties under this Purchase Order shall vest exclusively in the Buyer upon creation.
• The Supplier shall maintain professional indemnity insurance with a minimum cover of AUD $10,000,000 for the duration of this Purchase Order.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
