This Purchase Order authorises the procurement of professional Software Engineer services to be delivered in Australia Sydney. The engaged Software Engineer personnel will be responsible for the design, development, testing, deployment, and ongoing maintenance of Meridian Digital Solutions' proprietary software platforms. All Software Engineer work will be conducted in accordance with Australian standards, including the Australian Privacy Act 1988, the Fair Work Act 2009, and applicable New South Wales employment legislation. The primary work location for all Software Engineer roles under this Purchase Order shall be the Meridian Digital Solutions office at 200 George Street, Australia Sydney, with a hybrid working arrangement permitting up to two days of remote work per week.

Terms and Conditions

1. This Purchase Order is governed by the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved in the courts of Australia Sydney.
2. The Supplier warrants that all Software Engineer candidates placed under this Purchase Order meet the qualifications, experience, and competency requirements specified in the attached role descriptions. The Supplier shall replace any Software Engineer who fails to meet performance benchmarks within 30 days of written notice.
3. All Software Engineer personnel engaged under this Purchase Order shall be subject to a comprehensive background check, reference verification, and Australian Working Rights verification prior to commencing work in Australia Sydney.
4. Payment shall be made via direct bank transfer to the Supplier's nominated Australian bank account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed under the Australian Consumer Law.
5. The Supplier shall ensure that all Software Engineer engagements comply with the Australian Fair Work Ombudsman guidelines, including but not limited to minimum wage requirements, annual leave entitlements, and superannuation guarantee contributions at the current rate of 11.5%.
6. Confidentiality: All Software Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to accessing any proprietary code, architecture documentation, or business-sensitive information. This obligation survives the termination of this Purchase Order for a period of five (5) years.
7. Intellectual Property: All work product, code, documentation, and deliverables created by the Software Engineer personnel in the course of performing services under this Purchase Order shall be the sole and exclusive property of Meridian Digital Solutions Pty Ltd.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued obligations, including outstanding invoices for services rendered by the Software Engineer personnel up to the termination date.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Australia Sydney, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within five (5) business days.
10. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Software Engineer services in Australia Sydney and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.
