This Purchase Order is issued by TechNova Solutions S.A. (hereinafter referred to as the "Buyer") to Digital Talent Partners SRL (hereinafter referred to as the "Supplier") for the provision of a qualified Software Engineer to be deployed and performing professional duties within the Belgium Brussels metropolitan area. The Software Engineer shall be engaged on a full-time basis to support the Buyer's enterprise application development, system integration, and cloud infrastructure projects. The scope of work for the Software Engineer includes but is not limited to: designing, developing, testing, and maintaining software applications; conducting code reviews; implementing DevOps pipelines; providing technical architecture guidance; and collaborating with cross-functional teams located at the Buyer's primary office in Belgium Brussels.

All services rendered under this Purchase Order shall be performed at the Buyer's headquarters located at Avenue Louise 245, 1050 Belgium Brussels, or at such other location within the Belgium Brussels region as mutually agreed in writing. The Software Engineer shall be physically present at the designated Belgium Brussels work site for a minimum of four (4) days per week, with the remaining day allocated to remote work as permitted by the Buyer's internal policies. The Supplier guarantees that the Software Engineer holds all necessary work permits and residency documentation valid for employment in Belgium Brussels and the broader Kingdom of Belgium.

• Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice issued by the Supplier, in accordance with the terms set forth in this Purchase Order.
• Invoices shall be submitted monthly in arrears and must reference this Purchase Order number (PO-BE-BRU-2025-04782) and the Belgian VAT identification number of the Supplier.
• All payments shall be made via bank transfer to the Supplier's designated account in Belgium Brussels. The Buyer reserves the right to withhold payment in the event of non-conformity of the Software Engineer's deliverables.
• Any late payment shall accrue interest at the rate prescribed by the Belgian Code of Economic Law (Code de droit économique), Article 5:20, calculated from the due date until the date of actual payment.

• Applicable Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, with exclusive jurisdiction vested in the competent courts of Brussels, Belgium Brussels.
• Employment Relationship: The Supplier warrants that the Software Engineer is engaged under a valid employment contract compliant with Belgian labor legislation, including the Belgian Social Security Code and applicable collective labor agreements (CAO) for the IT sector in Belgium Brussels.
• Confidentiality and IP: The Software Engineer shall be bound by a non-disclosure agreement and intellectual property assignment clause ensuring that all work product, code, documentation, and inventions created during the engagement belong exclusively to the Buyer. • Substitution: The Supplier shall not substitute the designated Software Engineer without prior written consent from the Buyer. Any proposed replacement must demonstrate equivalent qualifications and experience.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. The Supplier shall replace the Software Engineer at no additional cost within fifteen (15) business days if the Buyer determines, in good faith, that the performance is materially deficient.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Software Engineer services in Belgium Brussels.
