The scope includes but is not limited to: design, development, testing, deployment, and maintenance of proprietary software platforms; code review and architectural guidance; participation in agile sprint cycles; and collaboration with cross-functional teams located in the Rio de Janeiro office at Av. Rio Branco, 1200.

• All invoices shall be submitted by the 5th business day of each month for services rendered in the preceding month.
• Payment shall be made via bank transfer (TED/PIX) to the vendor account in Brazil within 30 days of invoice receipt (Net 30).
• Bank details: Banco do Brasil, Agência 1234-5, Conta Corrente 67890-1, CNPJ 98.765.432/0001-15.
• All amounts are quoted in Brazilian Reais (BRL) and are inclusive of applicable taxes (ISS, PIS, COFINS) as mandated by the municipality of Rio de Janeiro and the Federal Revenue Service (Receita Federal).

• Intellectual Property: All code, designs, documentation, and deliverables produced by the Software Engineer during the term of this Purchase Order shall be the exclusive property of Meridian Digital Solutions Ltda. The Software Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment prior to commencement.
• Performance Standards: The Software Engineer shall adhere to the development methodologies, coding standards, and quality assurance protocols established by Meridian Digital Solutions. Monthly performance reviews shall be conducted, and the vendor shall be notified within 15 days if performance does not meet agreed-upon KPIs.
• Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for cause, the notice period shall be reduced to 7 days. Upon termination, the vendor shall ensure a smooth knowledge transfer and handover of all ongoing projects.
• Subcontracting: The vendor shall not subcontract the Software Engineer role without prior written consent from Meridian Digital Solutions Ltda.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, client data, and business strategies encountered during the engagement in Rio de Janeiro.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes shall be resolved by the competent courts of the city of Rio de Janeiro, RJ, or by arbitration at the CAM-CCBC (Câmara de Arbitragem do Centro de Conciliaão do Brasil) if both parties agree.

The Software Engineer shall be available for onboarding no later than July 01, 2025, at the Meridian Digital Solutions office in Rio de Janeiro, Brazil. The vendor is responsible for completing all hiring procedures, background checks, and regulatory filings required under Brazilian law prior to the start date.
