1. Place of Performance: All services under this Purchase Order shall be rendered primarily in Brazil São Paulo, at the buyer's headquarters located on Av. Paulista. The Software Engineer must maintain a valid work permit or Brazilian residency status to perform duties within the municipality of São Paulo.
2. Contract Duration: The engagement of the Software Engineer shall commence on July 1, 2025, and conclude on June 30, 2026, unless terminated earlier in accordance with Brazilian labor legislation (Consolidação das Leis do Trabalho — CLT).
3. Payment Terms: Payment shall be made in monthly installments via bank transfer (TED/DOC) to the vendor's account in Brazil São Paulo. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment is due within fifteen (15) calendar days of invoice receipt.
4. Compliance: The vendor shall ensure full compliance with all applicable federal, state (São Paulo), and municipal labor laws, including but not limited to FGTS contributions, INSS social security payments, vacation accrual, and 13th salary provisions as required for any Software Engineer employed in Brazil São Paulo.
5. Intellectual Property: All code, documentation, designs, and deliverables produced by the Software Engineer during the term of this Purchase Order shall be the exclusive property of TechNova Solutions Ltda. The Software Engineer shall sign a non-disclosure agreement (NDA) and IP assignment document prior to commencement.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall manage the offboarding of the Software Engineer in full compliance with Brazilian São Paulo labor regulations, including severance payments where applicable.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, state of São Paulo.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical details contained in this Purchase Order. No disclosure shall be made to third parties without prior written consent.
