This Purchase Order authorizes the procurement of a Senior Software Engineer to be physically stationed at the Canada Toronto office of Northbridge Digital Solutions Inc. The Software Engineer shall perform duties consistent with a senior-level technical role, including but not limited to: architecting and building distributed systems in Java, Python, and TypeScript; leading agile sprint planning sessions; conducting peer code reviews; maintaining production infrastructure on AWS and Azure; and collaborating with product managers to translate business requirements into technical specifications. The Software Engineer must hold a valid Canadian work permit or permanent residency and be legally authorized to work in the Province of Ontario. All deliverables and intellectual property produced under this Purchase Order shall be the exclusive property of the Buyer.
- Payment for the Software Engineer salary (Item 001) shall be processed bi-weekly via direct deposit in accordance with the Ontario Employment Standards Act, with all applicable source deductions (CPP, EI, federal and provincial income tax) remitted to the Canada Revenue Agency.
- The recruitment and placement fee (Item 004) shall be invoiced by Apex Talent Partners Ltd. with payment due within thirty (30) days of invoice receipt, in accordance with the terms stated in this Purchase Order.
- Equipment and onboarding costs (Item 002) shall be paid in a single lump sum within fifteen (15) business days of the Software Engineer's start date.
- The professional development budget (Item 003) shall be disbursed quarterly, subject to submission of itemized receipts and pre-approval by the VP of Engineering.
- All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the bank account designated by the Supplier. Late payments shall accrue interest at the rate of 1.5% per month as permitted under Ontario commercial law.
- This Purchase Order is subject to the Buyer's standard terms and conditions, which are incorporated herein by reference. Any amendments must be made in writing and signed by both parties.
- The Software Engineer engagement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes shall be resolved through mediation in Canada Toronto before proceeding to litigation in the Ontario Superior Court of Justice.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of a Software Engineer at the Canada Toronto facility. This document constitutes a binding procurement instrument and supersedes all prior verbal or written communications regarding this specific engagement.
