1. This Purchase Order constitutes a binding agreement between Northwest Digital Solutions Inc. (hereinafter "Buyer") and Coastal Tech Talent Group Ltd. (hereinafter "Vendor") for the provision of a Software Engineer professional services engagement based in Canada Vancouver, British Columbia.
2. The Software Engineer shall report to the Buyer's designated Technical Director at the Canada Vancouver office located at 1200 Granville Street, Suite 2400, Vancouver, BC, Canada. Standard working hours shall be Monday through Friday, 9:00 AM to 5:00 PM Pacific Time, with a one-hour unpaid lunch break.
3. Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the Vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Invoices shall reference this Purchase Order number PO-2025-VAN-00482.
4. The Vendor shall ensure that the Software Engineer complies with all applicable Canadian federal and provincial employment standards, including but not limited to the Canada Labour Code, the British Columbia Employment Standards Act, and all municipal bylaws applicable in the City of Vancouver, Canada.
5. The Software Engineer shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment agreement in favor of the Buyer. All code, documentation, and work product created during the engagement in Canada Vancouver shall be the sole property of Northwest Digital Solutions Inc.
6. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, plus applicable taxes for the Province of British Columbia and the City of Vancouver, Canada.
7. The Vendor warrants that the Software Engineer possesses a minimum of five (5) years of professional software development experience, proficiency in at least three (3) programming languages, and familiarity with cloud-native development practices. The Vendor shall provide a detailed CV and references prior to commencement.
8. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada. Any disputes arising from this engagement in Canada Vancouver shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.
9. The Vendor shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 per occurrence, valid throughout the term of this Purchase Order and applicable to all work performed in Canada Vancouver.
10. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall be null and void.
