- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, specifically the Civil Code of the PRC and the Labor Contract Law applicable to the China Guangzhou jurisdiction.
- Commencement: All Software Engineer positions referenced in this Purchase Order shall commence no later than July 1, 2025. The supplier guarantees that all candidates will have completed background checks, technical assessments, and visa/work permit clearance prior to the start date.
- Work Location: All Software Engineer personnel shall be physically stationed at the buyer's premises located in China Guangzhou, Tianhe District. Remote work beyond 10% of contracted hours requires prior written approval from the Procurement Director.
- Payment Terms: Payment shall be made in three equal installments: 40% upon execution of this Purchase Order, 30% upon successful onboarding and first 30-day performance review of each Software Engineer, and 30% upon completion of the 12-month contract term. All payments shall be made via bank transfer to the account specified above.
- Performance Standards: Each Software Engineer shall meet the Key Performance Indicators (KPIs) outlined in the attached Schedule A. Failure to meet KPIs for two consecutive quarterly reviews entitles the buyer to terminate the individual engagement with 30 days' written notice without penalty.
- Confidentiality: All Software Engineer personnel shall execute a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement prior to commencing work in China Guangzhou. All source code, architectural documentation, and proprietary algorithms developed during the engagement shall be the exclusive property of the buyer.
- Compliance: The supplier warrants that all Software Engineer engagements comply with the China Guangzhou Municipal Human Resources and Social Security Bureau regulations, including but not limited to working hour limits, overtime compensation, and mandatory social insurance contributions.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date, and the supplier shall facilitate a smooth transition of all Software Engineer personnel.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the Guangzhou International Arbitration Commission (GIAC) in China Guangzhou for binding arbitration.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in China Guangzhou, or international trade restrictions.
