This Purchase Order is issued to procure the services of a qualified Software Engineer to be deployed at the Buyer's primary development facility in China Shanghai. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications supporting the Buyer's cloud infrastructure and customer-facing digital platforms. The engagement is structured as a professional services procurement under this Purchase Order, and all deliverables, milestones, and performance expectations are governed by the terms set forth herein.
The Software Engineer shall work full-time (40 hours per week, Monday through Friday) at the Buyer's office located in the Lujiazui Financial District of China Shanghai. The role requires proficiency in Java, Python, and cloud-native architectures (AWS, Alibaba Cloud), with a minimum of five (5) years of professional experience in enterprise software development. The Software Engineer must hold a valid work permit and residence permit for the People's Republic of China, or be a Chinese national, to comply with local labor regulations applicable in China Shanghai.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to labor and employment regulations applicable in China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC).
- Service Delivery: The Seller shall ensure that the Software Engineer is available and commencing duties no later than July 1, 2025, at the Buyer's designated office in China Shanghai. Failure to meet this date shall entitle the Buyer to a penalty of 1% of the monthly fee per day of delay, up to a maximum of 10%.
- Confidentiality and IP: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment Agreement. All code, documentation, and work product created during the engagement shall be the sole property of the Buyer. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Seller warrants that the Software Engineer's employment arrangement fully complies with the Labor Law of the People's Republic of China, the Social Insurance Law, and all local ordinances of China Shanghai, including but not limited to working hour restrictions, overtime compensation, and mandatory social insurance contributions.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Seller, the Buyer may terminate immediately upon written notice. Upon termination, the Seller shall facilitate the orderly transition of the Software Engineer's responsibilities and return all Buyer property.
- Payment: Invoices shall be submitted monthly by the 5th business day for the preceding month's services. Payment shall be made via bank transfer to the Seller's designated account within thirty (30) days of invoice receipt. Late payments shall accrue interest at 0.05% per day.
- Substitution: The Buyer reserves the right to request substitution of the Software Engineer if performance does not meet the agreed-upon KPIs. The Seller shall provide a replacement of equivalent or superior qualification within fifteen (15) business days at no additional cost under this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Software Engineer professional services in China Shanghai. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
