The scope of this Purchase Order encompasses the recruitment, onboarding, and full professional engagement of one (1) senior Software Engineer with a minimum of seven (7) years of demonstrated experience in full-stack application development, cloud infrastructure management, and enterprise software architecture. The Software Engineer is expected to lead the development of a national-scale digital banking platform commissioned by a financial institution headquartered in DR Congo Kinshasa.

4.1 This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Democratic Republic of the Congo, specifically as applicable in the city of Kinshasa. Any disputes arising from this Purchase Order shall be resolved through arbitration in DR Congo Kinshasa under the rules of the Kinshasa Chamber of Commerce.

4.2 The Software Engineer engaged under this Purchase Order shall comply with all applicable labor regulations, tax obligations, and professional standards in force in DR Congo Kinshasa. The Seller shall ensure that the Software Engineer holds a valid work permit issued by the Congolese Ministry of Labor prior to commencing duties in Kinshasa.

4.3 Payment terms: Net 30 days from the date of invoice. All payments shall be made in United States Dollars (USD) via wire transfer to the account designated by the Seller. The Buyer reserves the right to withhold payment if the Software Engineer fails to meet the performance milestones outlined in the attached Statement of Work.

4.4 The Software Engineer shall be subject to a non-disclosure agreement (NDA) covering all proprietary code, architectural designs, and client data encountered during the engagement in DR Congo Kinshasa. Breach of confidentiality shall result in immediate termination of this Purchase Order and financial penalties as stipulated in the NDA.

4.5 This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void without further notice.

The Software Engineer shall report for duty at the TechnoCongo Digital Solutions SARL office in Gombe, Kinshasa, DR Congo Kinshasa, no later than 1 August 2025. All relocation logistics, including international travel to Kinshasa, temporary accommodation for the first thirty (30) days, and local transportation arrangements, shall be coordinated by the Seller in consultation with the Buyer's Human Resources department in DR Congo Kinshasa.
