This Purchase Order is issued by NileTech Solutions S.A.E. (hereinafter referred to as the "Buyer") to Cairo Digital Talent Agency Ltd. (hereinafter referred to as the "Supplier") for the provision of a full-time Software Engineer to be assigned to the Buyer's development team in Egypt Cairo. The Software Engineer shall be responsible for designing, developing, testing, and maintaining enterprise-grade software applications, including but not limited to web platforms, mobile applications, and cloud-based microservices. The Software Engineer will report directly to the Head of Engineering at the Buyer's office located in Egypt Cairo and will work in accordance with the Buyer's internal development standards, Agile methodology, and project timelines.
The Supplier shall provide a qualified Software Engineer meeting the following minimum qualifications and responsibilities:

4.1 This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Egypt Cairo.
4.2 The Software Engineer provided under this Purchase Order shall be exclusively assigned to the Buyer's projects in Egypt Cairo for the duration of the contract. The Supplier shall not reassign the Software Engineer without prior written consent from the Buyer.
4.3 The Supplier guarantees that the Software Engineer holds a minimum of a Bachelor's degree in Computer Science, Software Engineering, or a related field from an accredited Egyptian or internationally recognized university, and possesses a minimum of five (5) years of professional experience in software development.
4.4 Payment shall be made via bank transfer to the Supplier's designated account in Egypt Cairo within thirty (30) calendar days of receipt of a valid tax-compliant invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Egyptian commercial law.
4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Software Engineer fails to meet the agreed-upon performance KPIs for two consecutive months. In such an event, the Supplier shall provide a replacement Software Engineer of equivalent or superior qualification within fifteen (15) business days.
4.6 All intellectual property, code, documentation, and deliverables produced by the Software Engineer during the term of this Purchase Order shall be the sole property of the Buyer. The Supplier and the Software Engineer shall execute any additional IP assignment documents as reasonably requested by the Buyer.
4.7 The Supplier shall ensure full compliance with all applicable Egyptian labour regulations, including but not limited to working hours, overtime compensation, annual leave entitlements, and end-of-service benefits as prescribed by Egyptian law.
4.8 This Purchase Order becomes effective upon signature by both parties and remains valid for the twelve-month contract period unless extended in writing by mutual agreement.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Software Engineer in Egypt Cairo.
