The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications. The scope of work includes but is not limited to: full-stack application development using modern programming languages and frameworks; database architecture design and optimization; API development and integration; code review and quality assurance; participation in agile sprint planning and retrospectives; and technical documentation. The Software Engineer is expected to work a standard 40-hour week, Monday through Friday, in accordance with the working hours regulations applicable in Germany Berlin.

- Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's facility in Germany Berlin. The Supplier's assigned Software Engineer personnel shall report to the designated office location in Friedrichstraße 120, 10117 Berlin, Germany, unless otherwise agreed in writing by both parties.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within 30 calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate applicable under German commercial law (BGB § 288). All payments shall be made via bank transfer to the account specified on the Supplier's invoice.
- Confidentiality: The Software Engineer assigned under this Purchase Order shall be bound by a non-disclosure agreement (NDA) prior to commencing work. All proprietary information, source code, architectural designs, and business data encountered during the engagement in Germany Berlin shall remain the exclusive property of the Buyer.
- Intellectual Property: All work product, including but not limited to source code, documentation, and design artifacts created by the Software Engineer in the course of performing services under this Purchase Order, shall be the sole and exclusive intellectual property of the Buyer upon creation.
- Compliance with Local Law: The Supplier warrants that all Software Engineer personnel assigned to this engagement in Germany Berlin shall be in full compliance with German labor law, social security regulations, and any applicable professional licensing requirements. The Supplier shall bear all employer-related obligations including but not limited to social security contributions, income tax withholding, and statutory holiday entitlements.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, the non-breaching party may terminate with 14 days' written notice. Upon termination, the Supplier shall ensure an orderly handover of all work in progress and documentation.
- Substitution: The Supplier shall not substitute the assigned Software Engineer without prior written consent from the Buyer. Any proposed replacement must demonstrate equivalent or superior qualifications and experience.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Germany Berlin.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Software Engineer services in Germany Berlin. This document constitutes a binding agreement upon execution by both authorized representatives.
