The Software Engineer is expected to be physically present at the Frankfurt office a minimum of four (4) days per week, with one (1) day permitted for remote work subject to the company's hybrid work policy. The performance period commences on 1 September 2025 and concludes on 31 August 2026, unless extended by mutual written agreement.

• Payment shall be made via SEPA bank transfer to the account designated by EuroTalent Consulting AG within thirty (30) calendar days of receipt of a valid invoice.
• The initial recruitment fee (Item 01) is due upon successful onboarding of the Software Engineer at the Germany Frankfurt site.
• Monthly service fees (Items 02, 05) are invoiced in arrears on the last business day of each calendar month.
• Late payments shall accrue interest at the statutory rate under German commercial law (BGB §288).
• All amounts are quoted in Euro (EUR) and are inclusive of applicable German value-added tax (MwSt) at 19%.

• This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
• The Software Engineer engaged under this Purchase Order shall be bound by RheinTech Solutions GmbH's confidentiality and non-disclosure agreements, as well as all applicable data protection regulations under the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).
• EuroTalent Consulting AG warrants that the Software Engineer meets all stated qualifications and that all statutory employment obligations in Germany (including but not limited to social security contributions, working time regulations under the Arbeitszeitgesetz, and anti-discrimination provisions) are fully met.
• Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, all fees accrued up to the effective date of termination remain payable.
• This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Software Engineer services described herein and supersedes all prior negotiations, representations, or agreements.
• Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
