This Purchase Order is issued by TechSolutions West Africa Ltd. to formally procure the professional services of a qualified Software Engineer to be deployed and engaged at the company's primary operational office located in Ghana Accra. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications, cloud infrastructure solutions, and internal digital systems that support the day-to-day operations of the buyer's business in Ghana Accra.
The scope of work for the Software Engineer under this Purchase Order includes but is not limited to: full-stack application development using modern frameworks, database architecture and optimization, API integration and microservices design, code review and quality assurance, DevOps pipeline management, and technical mentorship of junior developers within the Ghana Accra engineering team. The Software Engineer is expected to work full-time (40 hours per week) at the buyer's premises in Ghana Accra for the duration specified in this Purchase Order.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier. The Supplier must return a signed copy of this Purchase Order within five (5) business days of receipt to confirm the engagement of the Software Engineer in Ghana Accra.
- Commencement Date: The Software Engineer shall commence duties no later than 1 July 2025 at the buyer's office located at 12 Independence Avenue, Ridge, Ghana Accra. Any delay in commencement must be communicated in writing at least seven (7) days prior to the start date.
- Payment Terms: Payment for the monthly Software Engineer services fee shall be made on the 5th business day of each month, in arrears, via bank transfer to the Supplier's designated account. The lump-sum items (Items 02, 03, and 04) shall be paid within fourteen (14) days of the Supplier's invoice submission.
- Performance Standards: The Software Engineer shall adhere to the buyer's code of conduct, security protocols, and project management methodologies. Monthly performance reviews shall be conducted by the buyer's Engineering Director in Ghana Accra.
- Confidentiality and IP: All intellectual property, source code, documentation, and proprietary information developed by the Software Engineer during the term of this Purchase Order shall be the exclusive property of TechSolutions West Africa Ltd. The Software Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Ghana Accra.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Software Engineer, the buyer may terminate immediately upon written notice. Upon termination, all company equipment and access credentials must be returned to the buyer's office in Ghana Accra within three (3) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this Purchase Order related to the Software Engineer engagement in Ghana Accra shall be resolved through arbitration in Accra, Ghana, in accordance with the Arbitration Act, 2099 (Act 626).
- Compliance: The Supplier warrants that the Software Engineer meets all statutory requirements for employment and professional practice in Ghana Accra, including valid work permits (if applicable), SSNIT registration, and adherence to the Ghana Labour Act, 2003 (Act 651).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Ghana Accra, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
The Supplier shall ensure that the Software Engineer is physically present and fully operational at the buyer's Ghana Accra office by the commencement date. The buyer's Human Resources and Engineering departments in Ghana Accra shall conduct a joint onboarding assessment within the first two (2) weeks. Acceptance of the Software Engineer's services is contingent upon satisfactory completion of this assessment. If the Software Engineer does not meet the agreed-upon competency benchmarks, the buyer reserves the right to request a replacement candidate within ten (10) business days at no additional cost under this Purchase Order.
