This Purchase Order is issued by TechNova Solutions Pvt. Ltd. to Apex Talent Partners LLP for the procurement and engagement of a qualified Software Engineer to be deployed at the India Bangalore development centre. The Software Engineer shall be responsible for designing, developing, testing, and maintaining enterprise-grade software applications as part of the ongoing product development lifecycle. The engagement is structured as a professional services contract for a period of twelve (12) months, commencing on 1 August 2025, with the option to extend for an additional twelve (12) months subject to mutual written agreement.
The Software Engineer shall work full-time (40 hours per week) at the TechNova Solutions office located in India Bangalore, specifically at the Prestige Tech Park campus on Outer Ring Road. The role requires a minimum of five (5) years of professional experience in full-stack software development, proficiency in Java, Python, and cloud-native architectures (AWS/Azure), and demonstrated expertise in Agile/Scrum methodologies. The Software Engineer shall report directly to the Engineering Manager, India Bangalore division.

- Acceptance: This Purchase Order shall become binding upon written acceptance by Apex Talent Partners LLP within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Delivery / Commencement: The Software Engineer shall be available for duty at the India Bangalore office no later than 1 August 2025. Any delay beyond this date shall attract a penalty of ₹5,000 per calendar day, up to a maximum of ₹50,000.
- Payment Schedule: Payments shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice. The first payment shall be due by 30 August 2025. All payments shall be made via NEFT/RTGS to the bank account designated by the supplier.
- Performance Standards: The Software Engineer shall adhere to the performance metrics, code quality standards, and delivery timelines established by TechNova Solutions. Quarterly performance reviews shall be conducted, and sustained underperformance may result in termination of this Purchase Order with thirty (30) days written notice.
- Confidentiality and IP: All intellectual property, source code, documentation, and proprietary information created or accessed by the Software Engineer during the course of engagement at India Bangalore shall be the exclusive property of TechNova Solutions Pvt. Ltd. The Software Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencement.
- Compliance: The supplier shall ensure full compliance with all applicable Indian labour laws, the Karnataka Shops and Establishments Act, the Payment of Wages Act, and all statutory requirements applicable to employment in India Bangalore. The Software Engineer shall be covered under the applicable social security schemes.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, termination may be effected with seven (7) days notice. Upon termination, the supplier shall facilitate a smooth transition of the Software Engineer's responsibilities.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in India Bangalore.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
