This Purchase Order is issued by TechBridge Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to CodeCraft Talent Services LLP (hereinafter referred to as the "Supplier") for the engagement of a qualified Software Engineer to provide specialized technical services. The Software Engineer shall be deployed at the Buyer's operational office located in India New Delhi, specifically at the premises situated at 4th Floor, Cyber Hub Tower, Sector 62, Noida, which falls within the broader India New Delhi metropolitan region. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications, including but not limited to full-stack web development, API integration, database architecture, and cloud infrastructure management. The Software Engineer must possess a minimum of five (5) years of professional experience in software development, proficiency in Java, Python, and JavaScript, and demonstrated expertise in Agile and DevOps methodologies.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within seven (7) calendar days of the date of issue. The Supplier's acceptance confirms their commitment to provide the Software Engineer services as specified herein.
2. Commencement: The Software Engineer shall report for duty at the Buyer's office in India New Delhi no later than 1 July 2025. Any delay in commencement shall be subject to a penalty of ₹5,000 per day of delay.
3. Payment Terms: Payment shall be made on a monthly basis within fifteen (15) days of receipt of a valid tax invoice from the Supplier. The first payment shall be due by 15 August 2025. All payments shall be made via NEFT/RTGS to the Supplier's designated bank account in India New Delhi.
4. Working Hours and Location: The Software Engineer shall work a standard 40-hour week (Monday to Friday, 9:00 AM to 6:00 PM IST) at the Buyer's premises in India New Delhi. Occasional weekend work may be required with prior written consent and compensatory time off.
5. Confidentiality and IP: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment Agreement. All code, documentation, and work products created during the engagement in India New Delhi shall be the exclusive property of the Buyer.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall ensure a smooth handover of all Software Engineer deliverables and project documentation.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
8. Compliance: The Supplier shall ensure that the Software Engineer complies with all applicable labor laws, tax regulations, and professional standards as mandated in India New Delhi and the broader Indian legal framework.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in India New Delhi.
10. Amendments: Any modification to this Purchase Order, including changes to the scope of the Software Engineer role, compensation, or duration, must be documented in a written addendum signed by both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Software Engineer in India New Delhi. This document constitutes a legally binding agreement between the Buyer and the Supplier.
