Acceptance: This Purchase Order constitutes a binding procurement commitment upon written acceptance by PT Cakrawala Teknologi Indonesia. The supplier shall confirm acceptance of this Purchase Order within five (5) business days of receipt.
Performance Location: All Software Engineer personnel engaged under this Purchase Order shall report to and perform their duties at the designated office facility in Indonesia Jakarta, specifically at the SCBD District campus. Remote work arrangements, if any, must be pre-approved in writing by the Buyer's Human Resources department.
Qualification Requirements: Each Software Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Computer Science, Information Technology, or a related engineering discipline. The Senior Software Engineer must demonstrate a minimum of seven (7) years of professional experience in enterprise software development. All candidates must pass the Buyer's technical assessment and background verification process prior to onboarding in Indonesia Jakarta.
Payment Schedule: Payment shall be made in quarterly installments. The first installment (25%) is due upon successful onboarding and commencement of work. Subsequent installments (25% each) are due at the end of each calendar quarter. Final payment is subject to satisfactory completion of all deliverables and a final performance review.
Compliance with Indonesian Law: All services rendered under this Purchase Order shall comply with the laws of the Republic of Indonesia, including but not limited to the Indonesian Labor Law (UU No. 13 Tahun 2003), the Personal Data Protection Law (UU No. 27 Tahun 2022), and applicable tax regulations administered by the Directorate General of Taxes in Indonesia Jakarta.
Confidentiality: The Software Engineer personnel shall be bound by a Non-Disclosure Agreement (NDA) and shall not disclose any proprietary information, source code, architectural designs, or business strategies of PT Nusantara Digital Solutions to any third party during or after the term of this Purchase Order.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall return all company property, access credentials, and documentation within five (5) business days.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Indonesian National Board of Arbitration (BANI) seated in Indonesia Jakarta.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Indonesia Jakarta.
