- Scope of Work: The supplier shall provide qualified Software Engineer professionals as detailed in the line items above. Each Software Engineer must possess a minimum of five (5) years of relevant professional experience, a recognized degree in Computer Science, Software Engineering, or a related field, and demonstrated proficiency in the specific technologies outlined for their role. All work shall be performed primarily at the buyer's premises in Abidjan, Ivory Coast, unless otherwise agreed in writing.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within thirty (30) calendar days of invoice receipt via bank transfer to the supplier's account domiciled in Abidjan, Ivory Coast. All amounts are denominated in West African CFA Francs (XOF). Late payments shall incur a penalty of 1.5% per month as stipulated under Ivory Coast commercial law.
- Performance Standards: Each Software Engineer shall adhere to the buyer's code of conduct, security protocols, and development standards. Monthly performance reviews shall be conducted. Failure to meet agreed-upon deliverables for two consecutive months shall entitle the buyer to terminate the affected line item with fourteen (14) days' written notice.
- Intellectual Property: All code, documentation, designs, and deliverables produced by the Software Engineer team under this Purchase Order shall be the exclusive property of Abidjan Digital Solutions SARL. The supplier warrants that no third-party intellectual property rights shall be infringed by the delivered work.
- Confidentiality & Data Protection: All Software Engineer personnel shall sign individual Non-Disclosure Agreements (NDAs) prior to commencing work. The supplier shall ensure compliance with the Ivory Coast data protection framework (Loi n° 2013-450 du 19 décembre 2013) regarding the handling of personal and corporate data processed in Abidjan.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the supplier shall deliver all completed work products and transition documentation within fifteen (15) days.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the Republic of Côte d'Ivoire. Any disputes arising from this agreement shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, disputes shall be referred to the competent commercial courts of Abidjan, Ivory Coast.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Ivory Coast Abidjan or the broader West African region.
- Compliance with Local Regulations: The supplier acknowledges that all Software Engineer engagements under this Purchase Order are subject to the labor regulations of Ivory Coast, including working hours, overtime compensation, annual leave entitlements, and mandatory health and safety provisions applicable in Abidjan.
