- Scope of Engagement: The Software Engineer(s) engaged under this Purchase Order shall perform all duties within the Japan Kyoto area as designated by the Buyer. The primary work location shall be the Kurogawa Digital Solutions office at 2-15-08 Shichijo, Nakagyo-ku, Japan Kyoto. Secondary work may be conducted at the Higashiyama-ku satellite facility.
- Contract Duration: This Purchase Order covers a twelve (12) month engagement period commencing on 1 August 2025 and concluding on 31 July 2026, unless extended by mutual written agreement of both parties.
- Payment Schedule: Payment shall be made in monthly installments of JPY 2,983,333 (rounded) within thirty (30) calendar days of receipt of a valid invoice. The final payment shall be due within thirty (30) days of contract completion or termination, whichever occurs first.
- Performance Standards: The Software Engineer shall adhere to the coding standards, project milestones, and quality benchmarks outlined in SOW-2025-114. Monthly performance reviews shall be conducted by the Buyer's Project Management Office in Japan Kyoto.
- Intellectual Property: All software code, documentation, designs, and intellectual property created by the Software Engineer during the term of this Purchase Order shall be the sole property of Kurogawa Digital Solutions K.K. The Software Engineer shall sign a non-disclosure and IP assignment agreement prior to commencing work in Japan Kyoto.
- Compliance with Japanese Law: All parties acknowledge that this Purchase Order is governed by the laws of Japan. The Software Engineer shall comply with all applicable Japanese labor regulations, tax obligations, and immigration requirements as applicable to work performed in Japan Kyoto.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days written notice. Upon termination, the Software Engineer shall complete all in-progress tasks and deliver all work product to the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, client data, and business strategies disclosed during the course of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes common to the Japan Kyoto region), government mandates, or pandemics.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Japan Commercial Arbitration Association (JCAA) seated in Kyoto, Japan.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Software Engineer engagement in Japan Kyoto. This document constitutes a binding agreement upon execution by both authorized representatives.
