This Purchase Order is issued by Kanto Digital Solutions K.K. to Tokyo Tech Talent Partners LLC for the engagement and provision of a qualified Software Engineer to support ongoing development, maintenance, and infrastructure modernization projects at our primary office located in Japan Tokyo. This Purchase Order governs the scope of services, compensation structure, performance expectations, and all contractual obligations between the Buyer and the Vendor for the duration of the engagement. The Software Engineer shall be assigned to the Platform Engineering Division and will report directly to the Chief Technology Officer of Kanto Digital Solutions K.K.

1. Scope of Work: The Software Engineer engaged under this Purchase Order shall perform duties including but not limited to system design, coding, code review, testing, deployment, and technical documentation. All work shall be performed primarily at the Buyer's office in Japan Tokyo unless otherwise agreed in writing.
2. Commencement Date: The Software Engineer shall commence duties on July 1, 2025, in Japan Tokyo. A grace period of five (5) business days is permitted for initial setup and orientation.
3. Payment Terms: Payment shall be made in monthly installments of 1,144,917 JPY (inclusive of tax) within thirty (30) days of receipt of a valid invoice from the Vendor. Payment shall be processed via bank transfer to the account designated by Tokyo Tech Talent Partners LLC.
4. Performance Standards: The Software Engineer shall meet the Key Performance Indicators (KPIs) outlined in Appendix A of this Purchase Order, which include sprint velocity targets, defect density thresholds, and code review turnaround times. Failure to meet KPIs for two consecutive quarters may result in termination of this Purchase Order with thirty (30) days' written notice.
5. Confidentiality and IP: All intellectual property, source code, architectural designs, and proprietary information created by the Software Engineer during the term of this Purchase Order shall be the sole property of Kanto Digital Solutions K.K. The Software Engineer shall sign a Non-Disclosure Agreement (NDA) compliant with Japan's Act on Protection of Trade Secrets prior to commencement.
6. Compliance with Japanese Law: This Purchase Order and the engagement of the Software Engineer shall comply with all applicable laws and regulations of Japan, including the Labor Standards Act, the Personal Information Protection Act (PIPA), and all local ordinances applicable to the Japan Tokyo metropolitan area.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may occur with fourteen (14) days' notice. Upon termination, the Vendor shall ensure an orderly transition of the Software Engineer's responsibilities to a successor or internal team member within twenty-one (21) days.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Tokyo. If mediation fails, disputes shall be submitted to the Tokyo District Court for adjudication under the laws of Japan.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes), government mandates, or pandemics affecting operations in Japan Tokyo.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Software Engineer in Japan Tokyo. This document constitutes a binding agreement effective upon execution by authorized representatives of both parties.
