- This Purchase Order is issued in accordance with the Republic of Kenya's Public Procurement and Asset Disposal Act (2015) and applicable private-sector commercial law. All parties acknowledge that this Purchase Order constitutes a binding agreement upon signature by both the Buyer and the Supplier.
- The Supplier shall ensure that each Software Engineer engaged under this Purchase Order holds a valid Kenyan work permit or employment authorization where applicable, and that all statutory deductions (NSSF, NHIF/SHIF, PAYE) are processed in compliance with the Kenya Revenue Authority (KRA) regulations.
- All Software Engineer personnel shall report to the Buyer's designated office in Kenya Nairobi, Westlands Business Park, on a standard Monday-to-Friday schedule (08:00 – 17:00 EAT), unless otherwise agreed in writing for remote or hybrid work arrangements.
- Payment shall be made on a monthly basis within 30 days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-KEN-NBO-2025-04782) and include the Supplier's KRA PIN for tax compliance in Kenya Nairobi.
- The Supplier warrants that all Software Engineer deliverables, including source code, documentation, and system architectures, shall be free from intellectual property infringement. All work product created under this Purchase Order shall be the exclusive property of the Buyer upon full payment.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall ensure an orderly transition of all Software Engineer responsibilities and hand over all project artefacts within 14 days of the termination effective date.
- Disputes arising from this Purchase Order shall be resolved through mediation in Kenya Nairobi, in accordance with the Arbitration Act (Cap 49) of the Laws of Kenya. The courts of Kenya Nairobi shall have exclusive jurisdiction.
- The Supplier shall maintain professional indemnity insurance with a minimum cover of KES 10,000,000 for the duration of this Purchase Order, naming the Buyer as an additional insured party.
- All Software Engineer personnel shall adhere to the Buyer's code of conduct, data protection policies (in line with the Kenya Data Protection Act, 2019), and information security protocols while working at the Kenya Nairobi premises.
- This Purchase Order is subject to the Supplier's compliance with the Kenya Information and Communications Act (2013) regarding data handling, and all software development activities shall comply with applicable Kenyan telecommunications and cybersecurity regulations.
