This Purchase Order is issued by Atlas Digital Solutions SARL to procure the professional services of a qualified Software Engineer to be deployed at the buyer's primary development office located in Morocco Casablanca. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications supporting the buyer's digital transformation initiative. The engagement is structured as a fixed-term professional services contract with the following deliverables and specifications:

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and applicable labor regulations pertaining to professional services engagements in Morocco Casablanca.
2. Payment Terms: Payment shall be made in four (4) equal quarterly installments of MAD 189,000.00 (inclusive of VAT), due within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. All payments shall be processed via bank transfer to the supplier's designated account at BMCE Bank, Casablanca Anfa branch.
3. Commencement & Duration: The Software Engineer services shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement of both parties.
4. Work Location: All Software Engineer personnel engaged under this Purchase Order shall perform their duties primarily at the buyer's facility located at 45 Boulevard Mohammed V, Casablanca, Morocco. Remote work may be permitted for up to two (2) days per week subject to prior written approval from the Procurement Director.
5. Performance Standards: The Software Engineer deliverables must meet the technical specifications outlined in Annex A (attached separately). All code shall adhere to the buyer's established coding standards, pass a minimum of 85% unit test coverage, and comply with OWASP security guidelines.
6. Confidentiality & IP: All intellectual property, source code, documentation, and proprietary information created or accessed during the engagement in Morocco Casablanca shall remain the exclusive property of Atlas Digital Solutions SARL. The supplier and all Software Engineer personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the supplier shall deliver all work-in-progress and documentation to the buyer within ten (10) business days.
8. Compliance: The supplier warrants that all Software Engineer personnel shall hold valid work permits or residence authorizations as required by Moroccan immigration law. The supplier is solely responsible for social security contributions (CNSS) and any applicable labor obligations under Moroccan law.
9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the competent commercial court in Casablanca, Morocco.
10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or infrastructure failures affecting the Morocco Casablanca region.
