This Purchase Order authorizes the procurement of professional Software Engineer services to be rendered at the Myanmar Yangon office located at 42 Strand Road, Sanchaung Township. The engagement period for all Software Engineer positions listed above shall commence on 1 July 2025 and continue for a duration of twelve (12) months, subject to mutual renewal. The Software Engineer personnel shall work standard business hours (Monday through Friday, 9:00 AM to 6:00 PM Myanmar Standard Time) at the designated Myanmar Yangon workspace unless otherwise agreed in writing.
The supplier, TechBridge Myanmar Consulting Co., Ltd., shall ensure that each Software Engineer assigned under this Purchase Order meets the minimum qualifications, technical competencies, and professional certifications outlined in the line item descriptions. The supplier is responsible for all statutory employer obligations under Myanmar labor law, including but not limited to social security contributions, income tax withholding, and occupational health and safety compliance within the Myanmar Yangon jurisdiction.
Invoices for services rendered under this Purchase Order shall be submitted monthly by the 5th business day of the following month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the supplier's designated account in Myanmar Yangon. All payments shall be made in Myanmar Kyat (MMK) unless otherwise specified. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
- This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. Any disputes arising from this Purchase Order shall be resolved through arbitration in Myanmar Yangon in accordance with the Myanmar Arbitration Law.
- The supplier warrants that all Software Engineer personnel engaged under this Purchase Order shall not be bound by any non-compete or intellectual property obligations to third parties that would conflict with the duties performed for the buyer in Myanmar Yangon.
- All intellectual property, code, documentation, and work product created by the Software Engineer personnel during the course of this engagement shall be the sole property of Golden Pagoda Technologies Ltd.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall ensure an orderly transition of all Software Engineer responsibilities and deliverables.
- The supplier shall maintain professional liability insurance with a minimum coverage of 50,000,000 MMK for the duration of this Purchase Order, valid within the Myanmar Yangon region.
- Confidentiality obligations shall survive the termination of this Purchase Order for a period of three (3) years.
