This Purchase Order is issued by Wellington Digital Solutions Ltd. to procure the professional services of a qualified Software Engineer to be engaged on a full-time basis at the company's primary office located in New Zealand Wellington. 4. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between the parties upon signature and is governed by the laws of New Zealand, specifically the Consumer Guarantees Act 1993 and the Contract and Commercial Law Act 2017.
The Software Engineer shall be required to work on-site at the Buyer's premises in New Zealand Wellington during standard business hours (Monday to Friday, 08:30 to 17:00 NZST), with a maximum of two (2) remote workdays per week as mutually agreed.
All intellectual property, source code, documentation, and work product created by the Software Engineer during the term of this engagement shall be the sole property of Wellington Digital Solutions Ltd.
The Supplier warrants that the Software Engineer assigned to this Purchase Order shall hold a minimum of five (5) years of professional software development experience and possess a relevant tertiary qualification in Computer Science, Software Engineering, or a closely related discipline.
Payment shall be made via electronic funds transfer (EFT) to the Supplier's nominated New Zealand bank account within thirty (30) days of receipt of a valid tax invoice, in accordance with the payment terms stated in this Purchase Order.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
The Software Engineer shall comply with all data protection obligations under the New Zealand Privacy Act 2020 and shall execute a non-disclosure agreement prior to commencing work in New Zealand Wellington.
Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Wellington before proceeding to the District Court of New Zealand.
This Purchase Order may not be assigned or subcontracted without the prior written consent of the Buyer.

5. DELIVERY AND ACCEPTANCE

The Software Engineer shall report for duty at the Buyer's office in New Zealand Wellington on or before 01 July 2025. Acceptance of services shall be deemed complete upon the Buyer's written confirmation that the Software Engineer has successfully completed the onboarding period and is actively contributing to the designated project team. The Buyer reserves the right to request a replacement Software Engineer of equivalent or superior qualification within fourteen (14) days if the initial candidate does not meet the requirements specified in this Purchase Order.
