3.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Software Engineer upon signature by both parties. All terms herein shall be governed by the laws of the Federal Republic of Nigeria, with particular reference to the Federal Capital Territory (Abuja) jurisdiction.

3.2 The Software Engineer warrants that all deliverables produced under this Purchase Order shall be original work, free from intellectual property infringement, and shall conform to industry best practices for software engineering in Nigeria Abuja and internationally.

3.3 Payment shall be made in monthly installments corresponding to the milestones outlined in Section 2. Invoices shall be submitted to the Buyer's Accounts Payable department in Nigeria Abuja no later than the 5th business day of each month. Payment shall be processed within 30 days of receipt of a valid invoice.

3.4 The Software Engineer shall maintain full-time availability during standard business hours (Monday to Friday, 8:00 AM to 5:00 PM WAT) at the Buyer's office in Nigeria Abuja, unless a remote work arrangement is approved in writing by the Project Manager.

3.5 The Software Engineer shall comply with all data protection regulations, including the Nigeria Data Protection Act (NDPA) 2023, and shall execute a Non-Disclosure Agreement (NDA) prior to commencing work under this Purchase Order.

3.6 Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Software Engineer shall be compensated for all work completed and accepted up to the date of termination.

3.7 The Software Engineer shall indemnify and hold harmless the Purchasing Entity against any claims, losses, or damages arising from the Software Engineer's negligence, breach of contract, or failure to meet the specifications outlined in this Purchase Order.

All deliverables under this Purchase Order shall be submitted to the Buyer's designated Project Manager in Nigeria Abuja. Acceptance of each milestone shall be confirmed in writing within 10 business days of submission. Failure to respond within this period shall constitute deemed acceptance. The Software Engineer shall rectify any defects or non-conformities identified during the acceptance period at no additional cost to the Buyer.

This Purchase Order is valid only for the specific Software Engineer engagement described herein and for the project location in Nigeria Abuja. Any amendments, change orders, or scope modifications must be documented in a written addendum signed by both parties. This document does not constitute an employment contract; the Software Engineer is engaged as an independent contractor.
