This Purchase Order is issued by TechNova Solutions Limited to Apex Digital Talent Partners Ltd. for the engagement of a qualified Software Engineer to provide full-time technical development services at our operational headquarters in Nigeria Lagos. The Software Engineer shall be responsible for designing, developing, testing, and maintaining enterprise-grade software applications, cloud infrastructure, and API integrations as outlined in the attached Statement of Work (SOW-2025-088).

- Commencement: The Software Engineer personnel shall commence duties no later than 1 July 2025 at the TechNova Solutions office located in Nigeria Lagos, Victoria Island. A minimum of two (2) weeks' written notice is required prior to the start date.
- Contract Duration: This Purchase Order covers a twelve (12) month engagement period. Renewal shall be subject to mutual written agreement and a separate Purchase Order amendment.
- Payment Terms: Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of a valid invoice from Apex Digital Talent Partners Ltd. All payments shall be processed in Nigerian Naira (NGN) via bank transfer to the account specified in Section 1.
- Performance Standards: Each Software Engineer shall adhere to the technical specifications, coding standards, and project milestones defined in SOW-2025-088. Failure to meet agreed deliverables for two consecutive months shall constitute grounds for termination with thirty (30) days' notice.
- Confidentiality and IP: All intellectual property, source code, documentation, and proprietary data created or accessed by the Software Engineer during the term of this Purchase Order shall remain the exclusive property of TechNova Solutions Limited. The Software Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Nigeria Lagos.
- Working Location: The primary work location for all Software Engineer roles under this Purchase Order is the TechNova Solutions facility in Nigeria Lagos. Remote work may be permitted at the discretion of the project manager, provided that all deliverables and communication standards are maintained.
- Compliance: The vendor shall ensure that all Software Engineer personnel comply with the Labour Act of Nigeria, the National Insurance Commission (NAIC) regulations, and all applicable data protection laws including the Nigeria Data Protection Regulation (NDPR) 2019.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nigeria Lagos. If mediation fails, the matter shall be referred to the Federal High Court of Nigeria, Lagos Division.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Nigeria Lagos, or widespread infrastructure failures.
This Purchase Order is valid for acceptance within seven (7) calendar days of the date of issue. The vendor is required to return a signed copy of this document to the Procurement Department at TechNova Solutions Limited, Nigeria Lagos, to confirm acceptance of all terms and conditions stated herein.
