1. Description of Purchase Order ScopeThis Purchase Order is issued by Al Rayyan Digital Solutions LLC (hereinafter referred to as the "Buyer") to TechBridge Global Consulting FZE (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Software Engineer to provide specialized technical services. The Software Engineer shall be physically stationed and perform all duties within the city of Qatar Doha, specifically at the Buyer's premises located in the Doha Financial Centre. This Purchase Order governs the full scope of professional services, compensation, and obligations associated with the Software Engineer engagement in Qatar Doha.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes arising from this Purchase Order shall be resolved through arbitration in Qatar Doha under the Qatar International Arbitration Center (QIAC) rules.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Seller. Payments shall be made via wire transfer to the Seller's designated bank account. All amounts are denominated in Qatari Riyal (QAR) and are inclusive of applicable Value Added Tax (VAT) at 5% as per Qatari tax regulations.
- Commencement Date: The Software Engineer shall commence duties no later than 1 August 2025 at the Buyer's office in Qatar Doha. The Seller is responsible for ensuring the Software Engineer holds a valid Qatari work visa and residence permit prior to the commencement date.
- Confidentiality: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) specific to the Buyer's proprietary systems. All source code, architectural documentation, and client data accessed during the engagement in Qatar Doha shall remain the exclusive property of the Buyer.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Seller shall ensure an orderly transition of the Software Engineer's responsibilities and shall not be liable for any penalty beyond the notice period.
- Compliance: The Seller warrants that the Software Engineer meets all Qatari labor law requirements, including but not limited to the Qatar Labor Law (Law No. 14 of 2004, as amended), and that all employment documentation is in full compliance with the Ministry of Labour in Qatar Doha.
- Insurance: The Seller shall maintain professional indemnity insurance and employer's liability insurance covering the Software Engineer for the full duration of this Purchase Order while performing services in Qatar Doha.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in Qatar Doha.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Software Engineer in Qatar Doha. This document is valid only upon execution by authorized representatives of both the Buyer and the Seller.
