The engagement covers the full spectrum of software development, system architecture design, code review, technical documentation, and ongoing maintenance of enterprise-grade applications as directed by the Purchaser's engineering management team.

1. Place of Performance: All services under this Purchase Order shall be performed exclusively at the Purchaser's facility in Russia Moscow. The Software Engineer is required to be present on-site at the Moscow office no fewer than five (5) business days per week, Monday through Friday, between the hours of 09:00 and 18:00 Moscow Standard Time (MSK).
2. Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on 1 July 2025 and expiring on 30 June 2026, unless terminated earlier in accordance with Clause 4.7.
3. Payment Terms: Payment shall be made in monthly installments of 450,000.00 RUB (Four Hundred Fifty Thousand Russian Rubles) via bank transfer to the Supplier's designated account within fifteen (15) business days of receipt of a valid invoice. The initial setup fees (Items 01, 03, 04, and 05) shall be paid in a single lump sum within ten (10) business days of the effective date of this Purchase Order.
4. Quality Standards: The Software Engineer shall adhere to all coding standards, development methodologies (Agile/Scrum), and quality assurance protocols established by the Purchaser. All deliverables must pass internal code review and automated testing before deployment.
5. Confidentiality and Data Protection: The Software Engineer shall comply with all applicable Russian Federation data protection laws, including Federal Law No. 152-FZ "On Personal Data," and the Purchaser's internal confidentiality agreements. All source code, architectural documents, and proprietary information developed or accessed during the term of this Purchase Order shall remain the exclusive intellectual property of the Purchaser.
6. Compliance with Russian Law: This Purchase Order is governed by and shall be interpreted in accordance with the Civil Code of the Russian Federation and all applicable regulations pertaining to professional services engagements in Russia Moscow. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Moscow Arbitration Court.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall ensure a smooth knowledge transfer of all Software Engineer work products to the Purchaser's internal team.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Russia Moscow region.
9. Substitution: The Supplier shall not substitute the designated Software Engineer without prior written consent from the Purchaser. Any proposed replacement must possess equivalent or superior qualifications and experience in software engineering.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Software Engineer in Russia Moscow. This document constitutes a binding agreement between the parties as of the date of the last signature.
