2. Delivery Location: All services and equipment referenced in this Purchase Order shall be delivered to and performed at the NORDTECH Solutions JSC facility located at 44 Liteyny Avenue, Russia Saint Petersburg, 191024.
3. Performance Standards: The Software Engineer shall adhere to the development methodologies, code quality standards, and project timelines established by the NORDTECH engineering leadership team. Monthly performance reviews shall be conducted by the designated project manager.
4. Confidentiality: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) compliant with Federal Law No. 152-FZ on Personal Data and applicable Russian Federation trade secret protection statutes. All source code, architectural documentation, and proprietary data developed during the engagement period remain the exclusive intellectual property of NORDTECH Solutions JSC.
5. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Supplier shall provide a full transition plan for the Software Engineer's ongoing tasks and deliver all work-in-progress artifacts to the Buyer.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Russia Saint Petersburg.
7. Compliance: The Supplier warrants that the Software Engineer engaged under this Purchase Order holds all necessary work authorizations, professional certifications, and insurance coverage required to perform duties in Russia Saint Petersburg in full compliance with local labor regulations.
