All Software Engineer personnel engaged under this Purchase Order shall report to the buyer's primary office facility located at King Fahd Road, Al Olaya District, Saudi Arabia Riyadh, no later than 01 July 2025. The supplier shall ensure that each Software Engineer meets the minimum qualifications outlined in the attached Statement of Work (SOW), including a minimum of five (5) years of relevant industry experience, proficiency in the specified technology stack, and valid professional certifications where applicable.

The Software Engineer team shall adhere to all local labor regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Anti-Discrimination and Anti-Abuse Law, and the data protection provisions under the Saudi Personal Data Protection Law (PDPL). All work products, source code, and intellectual property generated during the engagement in Saudi Arabia Riyadh shall be the sole property of Najd Digital Solutions Ltd.

• Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid tax invoice.
• Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding calendar month.
• The supplier shall provide a VAT-registered invoice compliant with the Zakat and Tax Authority (ZATCA) requirements of Saudi Arabia.
• A retention of 10% shall be withheld from each monthly invoice and released upon successful completion and acceptance of the final deliverables.
• Late payments shall accrue interest at a rate of 1.5% per month, in accordance with applicable Saudi Arabian commercial law.
• All amounts stated in this Purchase Order are in Saudi Riyals (SAR) and are inclusive of all applicable local taxes unless otherwise specified.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
• The supplier warrants that all Software Engineer personnel assigned to this engagement in Saudi Arabia Riyadh shall be free from any conflicting contractual obligations and shall devote their full professional attention to the buyer's projects.
• The supplier shall maintain comprehensive professional indemnity and liability insurance with a minimum coverage of SAR 5,000,000 for the duration of this Purchase Order.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
• The supplier shall comply with all Saudi Arabian government regulations regarding foreign worker employment, including Saudization (Nitaqat) requirements where applicable to the engagement scope.
• Confidentiality obligations shall survive the termination or expiration of this Purchase Order for a period of three (3) years.
• This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Software Engineer services in Saudi Arabia Riyadh and supersedes all prior negotiations, representations, and agreements.
