Terms and Conditions
- This Purchase Order constitutes a binding agreement between NexaTech Solutions (Pty) Ltd and CodeCraft Professional Services (Pty) Ltd for the provision of Software Engineer services in South Africa Johannesburg. Both parties acknowledge and accept all terms herein upon signature.
- All Software Engineer personnel shall be physically present at the designated work location in Johannesburg, South Africa, Monday through Friday, 08:00 to 17:00, unless a hybrid work arrangement is mutually agreed upon in writing.
- Payment terms: Net 30 days from the date of a valid tax invoice. Invoices shall be submitted monthly in arrears. Late payments shall accrue interest at the rate of 1.5% per month as per the National Credit Act of South Africa.
- CodeCraft Professional Services shall ensure that all Software Engineer candidates meet the minimum qualifications specified in Annexure A of this Purchase Order, including a relevant BSc or BEng degree in Computer Science, Software Engineering, or a related discipline, and a minimum of three (3) years of post-qualification experience for senior roles.
- Confidentiality: All Software Engineer personnel shall be bound by a Non-Disclosure Agreement (NDA) prior to commencing work. All intellectual property developed during the term of this Purchase Order shall be the sole property of NexaTech Solutions (Pty) Ltd.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, CodeCraft shall provide a replacement Software Engineer of equivalent or higher skill level within fourteen (14) business days at no additional cost.
- Compliance: All services rendered under this Purchase Order shall comply with the Labour Relations Act, the Basic Conditions of Employment Act, the Protection of Personal Information Act (POPIA), and all applicable South African employment legislation. The work location in South Africa Johannesburg shall adhere to all occupational health and safety regulations.
- Performance KPIs: Each Software Engineer shall be subject to quarterly performance reviews. Failure to meet agreed-upon deliverables for two consecutive quarters shall constitute grounds for replacement at the supplier's expense.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
- This Purchase Order is governed by the laws of the Republic of South Africa. The courts of the Gauteng Division, Johannesburg, shall have exclusive jurisdiction.
