- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order relating to the Software Engineer engagement in South Korea Seoul shall be subject to the exclusive jurisdiction of the Seoul Central District Court.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Payments shall be made via bank transfer to the Supplier's designated account in South Korea Seoul. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Korean commercial law.
- Work Location: All services under this Purchase Order shall be performed at the Buyer's premises in South Korea Seoul. The Software Engineer is expected to be physically present at the South Korea Seoul office for a minimum of forty (40) hours per week, adhering to standard Korean business hours (09:00–18:00 KST, Monday through Friday).
- Confidentiality and IP: The Software Engineer shall maintain strict confidentiality regarding all proprietary information, source code, trade secrets, and business strategies of the Buyer. All intellectual property created during the engagement in South Korea Seoul shall be the sole property of the Buyer upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately. Upon termination, the Supplier shall deliver all work-in-progress materials and documentation to the Buyer's South Korea Seoul office within five (5) business days.
- Compliance: The Supplier warrants that the Software Engineer assigned under this Purchase Order holds all necessary work permits, visas, and professional certifications required to legally perform services in South Korea Seoul in compliance with the Korean Employment Act and the Act on the Protection of Foreign Workers.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of ₩ 500,000,000 for the duration of this Purchase Order, valid throughout the territory of South Korea Seoul and the Republic of Korea.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in South Korea Seoul, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
