This Purchase Order is issued by Iberia Digital Solutions S.L. (hereinafter referred to as the "Buyer") to TechTalent Iberia Consulting S.L. (hereinafter referred to as the "Supplier") for the procurement of professional services rendered by a qualified Software Engineer. The engagement is specifically designated for operations based in Spain Madrid, and all deliverables, on-site requirements, and contractual obligations shall be governed by the applicable labour and commercial legislation of the Kingdom of Spain, with particular reference to the autonomous community of Madrid.

The Software Engineer engaged under this Purchase Order shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications. The role requires a minimum of five (5) years of professional experience in full-stack development, proficiency in Java, Python, and cloud-native architectures (AWS, Azure, or GCP), and demonstrated expertise in agile development methodologies. The Software Engineer will report directly to the Head of Engineering at the Buyer's principal office located in Spain Madrid.

• Payment Terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly by the 5th business day. All payments shall be made via SEPA bank transfer to the Supplier's designated account in Spain Madrid.
• Commencement Date: The Software Engineer engagement shall commence on 1 September 2025, subject to successful completion of background checks and visa/work permit verification where applicable.
• Work Location: The Software Engineer shall perform duties primarily at the Buyer's office in Spain Madrid (Calle de Serrano 125, 28006). Remote work is permitted up to two (2) days per week, provided all data security protocols are observed.
• Contract Duration: This Purchase Order covers a period of twelve (12) months. Renewal shall be subject to mutual written agreement no later than thirty (30) days prior to the expiry date.
• Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure a smooth transition of all project deliverables and knowledge held by the Software Engineer.
• Confidentiality: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) in accordance with Spain's Organic Law 3/2018 on Personal Data Protection and the GDPR. All proprietary code, architectural documentation, and client data accessed during the engagement in Spain Madrid remain the exclusive property of the Buyer.
• Intellectual Property: All software, code, designs, and documentation created by the Software Engineer in the course of this engagement shall be the sole intellectual property of the Buyer, as stipulated under Article 12 of the Spanish Intellectual Property Law (Ley 1/1996).
• Applicable Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the courts of Spain Madrid.
• Compliance: The Supplier warrants that the Software Engineer is fully authorised to work in Spain and that all Social Security contributions, income tax withholdings (IRPF), and statutory obligations applicable in Spain Madrid shall be duly fulfilled by the Supplier.
